A Nashville-based heathcare technology company is seeking a Senior Corporate Counsel/Corporate Counsel to join it legal department. The ideal candidate must have 4-6 years’ experience in technology law, intellectual property, corporate law, mergers & acquisitions, healthcare law and/or regulatory matters. Duties will include negotiating and drafting customer contracts for healthcare IT, including for software licensing, SAAS solutions, and related and other services; negotiating, drafting, and reviewing vendor and strategic partner contracts, including reseller arrangements, technology and product development, licensing, and services; involvement in transactional matters, including strategy, contract negotiation/drafting/review, and diligence; legal/compliance review of new products and advising management regarding new offerings; working with Director of Compliance/others regarding HIPAA and FDA compliance matters; oversight/management of related litigation matters, including oversight of outside counsel; IP oversight and management; and providing legal advice and counsel regarding corporate and operational matters. HIPAA and FDA compliance experience is not required, but HIPAA experience preferred. Previous in-house experience a plus. Candidates must have outstanding professional and academic credentials.
